AGZ Properties, LLC, a real estate entity, has faced a significant legal setback in its ongoing dispute over property lease agreements with a family member. The Court of Appeals of Ohio’s Eighth Appellate District upheld the Cuyahoga County Court of Common Pleas’ decision to deny AGZ’s motion for summary judgment while granting the same to the defendants. This case, initiated by AGZ on September 20, 2017, involves Dennis Zdolshek and Dink’s II Company, Inc., centering around lease agreements for properties in Chagrin Falls, Ohio.
The origins of this complex legal battle trace back to 1982 when Hilda and Gail Zdolshek leased properties at 16, 18, and 20 North Main Street to their nephew Dennis Zdolshek. These properties housed Dink’s restaurant. Over the years, several lease agreements were executed between them, including an option for Dennis to purchase the property. AGZ alleged that Dennis breached these leases by failing to pay rent and fraudulently misrepresenting lease terms to Gail. The complaint also sought a declaration that certain purchase options were invalid due to alleged fraud.
AGZ argued that Dennis had not adhered to contractual obligations such as timely rent payments and Consumer Price Index (CPI) adjustments. However, the court found that Hilda and Gail had accepted irregular payment arrangements from Dennis over many years without objection, effectively waiving strict compliance with the lease terms. Additionally, claims of fraud were dismissed due to insufficient evidence that Dennis misled Gail into signing documents without understanding them or consulting an attorney.
In terms of relief sought by AGZ, they aimed for compensation for breach of contract damages amounting to $100,000 related to unjust enrichment claims concerning restaurant equipment sales by Dennis. Yet again, these claims were rejected due to lack of supporting evidence showing unjust retention of benefits by Dennis under circumstances deemed inequitable.
