Plaintiff Alleges Breach of Contract Against Former Business Partner Over Termination Dispute

O’Neil & Associates, Inc., a company specializing in technical documentation services, has taken legal action against two corporate entities for allegedly breaching contractual agreements. The complaint was filed on February 6, 2026, in the United States District Court for the Southern District of Ohio by O’Neil & Associates against The Manitowoc Company, Inc. and Grove U.S. L.L.C.

The dispute centers around a series of agreements between O’Neil & Associates and Manitowoc, which began with a proposal issued on May 10, 2018. This proposal involved configuring and deploying a Learning Management System (LMS) to train Manitowoc’s sales personnel. Over time, the scope of work expanded to include enhancements such as mobile access to sales information and integration with webinar platforms. These enhancements were outlined in Proposal #7099 dated March 18, 2021. O’Neil claims that they fully performed their obligations under these agreements until Manitowoc abruptly terminated the contract on April 1, 2024.

O’Neil alleges that this termination was not only premature but also constituted a breach of contract since the agreed term was supposed to last until June 30, 2027. The plaintiff asserts that Manitowoc’s actions violated both the original terms and conditions set forth in Proposal #7099 and subsequent updates made in the 2021 Terms and Conditions. According to O’Neil’s counsel, Manitowoc’s termination letter cited “Termination for Convenience,” but failed to adhere to contractual stipulations regarding notice periods and payment obligations.

In response to these alleged breaches, O’Neil is seeking compensatory damages amounting to approximately $393,000—the balance owed under Proposal #7099—as well as punitive damages for what they describe as willful misconduct by Manitowoc. They argue that Manitowoc has been unjustly enriched by benefiting from services rendered without fulfilling their financial commitments.

Represented by attorneys Timothy G. Pepper and Courtney N. Strickland from Taft Stettinius & Hollister LLP, O’Neil demands judgment in their favor for both breach of contract and unjust enrichment claims. They are requesting compensatory damages along with costs associated with litigation including attorney fees.

The case is being presided over by Judge Michael J. Newman under Case ID: 3:26-cv-00038-MJN-CHG.
