This has resulted in financial losses for shareholders who acquired stock based on allegedly false information provided in the merger’s registration statement.
The lawsuit claims violations of federal securities laws, specifically citing negligence rather than fraud, as it argues that the registration statement was not prepared according to regulatory standards. The City of Livonia Employees’ Retirement System is seeking damages on behalf of all similarly affected shareholders.
